1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and ZV Ventures and Consulting, LLC ("Company", "we", "us", or "our"), governing your access to and use of the PhronixGRC web application, curriculum, micro-lessons, templates, and associated digital services (collectively, the "Service").

By accessing or using PhronixGRC, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

2. Eligibility and Authorized Use

• You must be at least 18 years old and authorized to enter into binding legal agreements.
• If using the Service on behalf of a corporation or entity, you represent and warrant that you have authority to bind that entity to these Terms.

3. User Accounts and Access Credentials

• You must provide accurate, current, and complete registration information.
• Single-User License: Each account is issued to an individual named user. Account sharing, credential pooling, or distributing logins across multiple individuals is strictly prohibited.
• You are responsible for safeguarding your login credentials and for all activities that occur under your account.

4. Subscriptions, Payments, and Cancellations

• Billing: Access to paid tiers is billed in advance on an annual or monthly recurring basis according to your selected plan.
• Automatic Renewal: Subscriptions renew automatically unless cancelled prior to the end of the current billing cycle via your account settings.
• Refund Policy: Except where required by applicable law, all subscription fees are non-refundable once digital course content has been accessed.

5. Intellectual Property Rights and License Restrictions

• Ownership: All course videos, training frameworks, slide decks, narratives, graphics, logos, trademarks, and documentation within PhronixGRC are the exclusive intellectual property of ZV Ventures and Consulting, LLC.
• Limited License: You receive a limited, revocable, non-exclusive, non-transferable license to access the content solely for your internal training and professional development.
• Restrictions: You shall not:
  • Copy, screen-record, scrape, reproduce, or redistribute training content.
  • Reverse engineer, decompile, or extract source code from the Platform.
  • Resell, rent, lease, or syndicate the training material to third parties.
  • Use PhronixGRC content or frameworks to create, train, or commercialize a competing compliance or GRC education service.

6. Professional and Compliance Disclaimer

PhronixGRC is an educational training platform designed to enhance workplace internal controls awareness. ZV Ventures and Consulting, LLC does not provide formal legal, statutory audit, accounting, or regulatory certification advice. Completion of PhronixGRC courses does not guarantee that you or your organization will pass external audits (e.g., SOX 404, SOC 1/SOC 2, ISO 27001) or remain free from regulatory penalties.

7. Limitation of Liability and "AS IS" Disclaimer

• "AS IS" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory.
• Damages Cap: To the maximum extent permitted by Florida law, ZV Ventures and Consulting, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or business goodwill.
• Total Liability: Our aggregate liability arising out of or related to these Terms will not exceed the total amount paid by you to ZV Ventures and Consulting, LLC for PhronixGRC in the twelve (12) months preceding the claim.

8. Termination

We reserve the right to suspend or terminate your account and revoke platform access immediately, without prior notice, if you breach any provision of these Terms or engage in unauthorized distribution of course IP.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Florida, without giving effect to conflict-of-law principles. Any legal suit, action, or proceeding arising out of these Terms must be instituted exclusively in the state or federal courts located within Florida.

10. Changes to Terms

We may modify these Terms periodically. Updated versions will be published on this page with an updated "Last Updated" date. Continued use of PhronixGRC constitutes your acceptance of the revised Terms.
